When you place an order through our Services, you are offering to purchase the products you have selected based on the prices, offers, and product descriptions stated at the time of your order. All orders are subject to acceptance and availability.

  • Suspected fraudulent activity

If a pricing error is discovered, we reserve the right to cancel your order. In such cases, we will notify you and offer you the option to proceed with the order at the correct price or cancel your order.

We use third-party payment processors to process payments made to us. Your payment information will be subject to the privacy policy and terms of these third-party payment processors.

4. Delivery and Pickup

4.1 Delivery

We offer delivery services within specified areas. Delivery times provided are estimates and are not guaranteed. Factors outside our control, such as traffic, weather, or high order volumes, may affect delivery times.

You are responsible for providing accurate delivery information. If we cannot deliver to the address provided, we may cancel the order and charge a delivery fee or the full order amount.

4.2 Pickup

If you select pickup, your order will be available at the selected location at or around the estimated pickup time. Orders not picked up within a reasonable time may be disposed of, and no refund will be issued.

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of Pizza Depot Canada and its licensors. The Services are protected by copyright, trademark, and other laws of both Canada and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Pizza Depot Canada.

5.2 User Content

By posting, uploading, or otherwise making available any content on our Services (including but not limited to reviews, comments, feedback, or ideas), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; and that use of the content you supply does not violate these Terms and will not cause injury to any person or entity.

6. Limitation of Liability

In no event shall Pizza Depot Canada, its officers, directors, employees, or agents, be liable to you for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever resulting from:

  • Any errors, mistakes, or inaccuracies of content
  • Personal injury or property damage, of any nature whatsoever, resulting from your access to and use of our Services
  • Any unauthorized access to or use of our secure servers and/or any and all personal information stored therein
  • Any interruption or cessation of transmission to or from our Services
  • Any bugs, viruses, Trojan horses, or the like, which may be transmitted to or through our Services by any third party
  • Any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the Services

The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you.

7.2 Food Allergen Disclaimer

While we take steps to avoid cross-contamination of allergens, we cannot guarantee that our products are free from allergens as our kitchen handles many ingredients. If you have a food allergy, please contact us directly before placing your order.

8. Indemnification

You agree to defend, indemnify, and hold harmless Pizza Depot Canada, its parent company, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Services
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that content you posted causes damage to a third party

This defense and indemnification obligation will survive these Terms and your use of the Services.

You acknowledge and agree that Pizza Depot Canada shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

10. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Services, or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Canada and the Province of Ontario, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12. Dispute Resolution

Any disputes arising out of or relating to these Terms or your use of the Services shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration in accordance with the Commercial Arbitration Act of Canada.

The arbitration shall be conducted in Toronto, Ontario, unless both parties agree to conduct it elsewhere. The arbitration award shall be final and binding on the parties and may be entered as a judgment in any court of competent jurisdiction.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
